Michelle Kramish Kain has concentrated her law practice exclusively in corporate and securities law since 1987. She has represented private and public companies through capital raising transactions such as private placements and public offerings, public company filings under the Securities Exchange Act of 1934 and state securities laws compliance. Ms.Kain has also been a legal consultant on business financing issues and corporate law matters for a wide-range of development stage and emerging growth companies.
Ms. Kain was an associate at several former South Florida law firms from 1987 to 1993. In 1993 she was a founding member of Kipnis Tescher Lippman Valinsky & Kain, P.A. in Fort Lauderdale, Florida where she continued her corporate and securities law practice until August 1997 and established Michelle Kramish Kain, P.A. In January 2005 she was joined by Jay Valinsky, her former partner at Kipnis Tescher Lippman Valinsky & Kain, P.A., and established Kain & Valinsky, P.A. Ms. Kain became Of Counsel to the firm in January 2017 and continues to consult and work with Jay Valinsky on corporate and securities law matters.
Ms. Kain received her B.A. from the University of Florida in 1975; J.D from Nova University Law School in 1978; and her Master of Laws (LLM) in Corporate Law from The George Washington Washington University Law School in 1986. She is admitted to practice in Florida.
